Abstract

การลงทุนในธุรกิจสำรวจและผลิตปิโตรเลียมเป็นการลงทุนที่มีความเสี่ยงสูง โดยเฉพาะ อย่างยิ่งนักลงทุนต่างชาติจะต้องเผชิญกับความเสี่ยงที่รัฐผู้รับการลงทุนอาจใช่อำนาจอธิปไตยเพื่อ เปลี่ยนแปลงกฎหมายที่บังคับใช่กับสัญญาสำรวจและผลิตปิโตรเลียม การเปลี่ยนแปลงดังกล่าวโดย การใช้อำนาจอธิปไตยเพียงฝ่ายเดียวอาจจะส่งผลเสียหายต่อสิทธิทางสัญญาของนักลงทุนต่างชาติ ข้อสัญญาเพื่อความมั่นคงแห่งสัญญาจึงถูกนำมาใช้เพื่อคุ้มครองนักลงทุนจากการใช่อำนาจอธิปไตย ของรัฐผู้รับการลงทุน บทความฉบับนี้จะอธิบายถึงความเสี่ยงในธุรกิจสำรวจและผลิตปิโตรเลียม โดยเฉพาะอย่างยิ่งความเสี่ยงจากการใช้อำนาจอธิปไตยของรัฐ และพิจารณาเหตุผลเบื้องหลังการนำ ข้อสัญญาเพื่อความมั่นคงแห่งสัญญามาใช้ระหว่างนักลงทุนต่างชาติและรัฐผู้รับการลงทุน รวมทั้ง พิจารณาถึงความสมบูรณ์และผลกระทบของข้อสัญญาดังกล่าวภายใต้กฎหมายการลงทุนระหว่าง ประเทศ นอกจากนี้ บทความจะศึกษาถึงข้อสัญญาเพื่อความมั่นคงแห่งสัญญาที่ปรากฏอยู่ใน กฎกระทรวงกำหนดแบบสัมปทานปี พ.ศ. 2555 และพิจารณาถึงความคุ้มครองที่ข้อสัญญาดังกล่าว ได้มอบให้กับนักลงทุนในกรณีที่การลงทุนในธุรกิจสำรวจและผลิตปิโตรเลียมอาจได้รับความเสียหาย จากความเสี่ยงทางการเมืองที่เกิดขึ้นในสถานการณ์ปัจจุบันของประเทศไทย

Stabilization Clauses in Upstream Petroleum Contracts

Upstream petroleum investments are high risks projects. In particular, the foreign investor is confronted with the risk that the host state may exercise its sovereignty and change the laws governing upstream petroleum contracts. This unilateral change by the sovereign power may adversely affect the contractual rights of the foreign investors. A stabilization clause may then be adopted to protect the foreign investors from the exercise of state sovereignty. This article will identify risks inherent in upstream petroleum investments, especially sovereign risks. It will also examine the objectives behind the adoption of stabilization clauses between the host state and the foreign investors, and consider the validity and effect of such clauses under international investment law. In addition, the article will examine stabilization clauses in the Thai model concession contract, and analyze how they might protect upstream investors against the current unstable political situation in Thailand.
