                This documentary research aims to study about the theory of the legitimate power of Teacher Savings Cooperative Committee, the mechanism controlling and cooperative governance in Thailand comparing to international law and to find the proper solution to solve the problem about the over uses of the legitimate power of Teacher Savings Cooperative Committee. Data is collected form textbooks, academic articles, dissertations, theses, dissertations various research papers and related laws.

          The results found that there was the lack and gap in Teacher Savings Cooperative Committee law for providing the corruption. Because of the gap in law, the officers used their power, position, and their companions to earn the benefit. Additionally, lack of knowledge management caused the government agency was not good enough to manage the financial and investment. Therefore, Thailand cooperative should amend the COOPERATIVES ACT B.E. 2542 by correcting the false of the cooperative committee and emphasizing on training to gain the knowledge of the cooperatives committee. Moreover, the governance law should be separated by cooperative type. The enhanced punishment should be amended for the law violation. Therefore, the board or agency of cooperative governance should be established a management structure and mechanism. Also, the concept of 5c's policy, which is the principle of credit analysis of commercial banks, should be applied and treated as a financial institution for determining the repayment period, loan limit and collateral control should be stipulated in the law at the level of the Cooperative Registrar's regulations rather than as a recommendation or practical manual for the committee to operate. See the importance in supervising cooperatives to be more efficient and stable for the benefit of the party.
