Merger Notification Threshold

Business operators conduct mergers for several reasons. Sometimes, business operators may conduct mergers due to their willingness to eliminate competition. Merger control is established under competition law to protect consumers and society from such mergers. Merging parties are generally obligated to notify the competition enforcer of the merger transaction before consummating the transaction by complying with the merger notification threshold. There are several thresholds, but the main ones include sales revenue, assets, market share, and transaction value thresholds.
Section 51 of the Trade Competition Act B.E. 2560 stipulates that any business operator planning to conduct a merger that may cause a monopoly or result in a dominant position in the market shall seek permission from the commission. Based on the section, this means that Thailand uses the status of the merging parties as a merger notification threshold. However, since this status depends on the merging parties' sales revenue and market share, Thailand ultimately relies on sales revenue and market share thresholds. Although the market share threshold may reflect the competitive concerns arising from the merger, it practically poses many difficulties and costs to merging parties. This article demonstrates why Thailand should not use the market share threshold and provides readers with recommendations and suggestions for the short and long term.
