Application of Good Corporate Governance Principle to Develop Thai Limited Company Law in Thailand

Abstract
As a condition in which good corporate governance principles are only valued by listed companies on the Stock Exchange of Thailand, as well as the corporate governance scores in private businesses, it is only featured by public limited companies that have securities traded on the stock exchange. Despite the fact that most private companies in Thailand are small and medium-sized businesses, and part of the family business. The numbers of these companies and their employees are much more than the listed companies on the Stock Exchange of Thailand. Such situations cause the same problem both in Thailand and abroad. According to the study, The Civil and Commercial Code in the Limited Company section also developed differently from the laws of Public Limited Company in relation to the corporate governance principles. Besides, the company legal system in Thailand lacks unity compared to the foreign company laws in developed economies. This article focuses on the guidelines for applying good corporate governance principles to develop the laws of limited companies in Thailand for private companies to be successful in sustainable business operations as well as public limited companies on the Stock Exchange of Thailand.
